2. Acceptance of Terms

By using SecondLayer, you agree to these Terms of Service in full. If you do not agree, you must not use the service. Continued use after any update to these Terms constitutes acceptance of the revised Terms.

3. Nature of the Service

SecondLayer provides document analysis and information services only.

WE ARE NOT LAWYERS. WE ARE NOT FINANCIAL ADVISORS. WE ARE NOT INSURANCE ADVISORS.

Nothing produced by SecondLayer constitutes legal advice, financial advice, insurance advice, or any other form of professional advice regulated under Irish or EU law.

SecondLayer reads and analyses the text of documents you provide and surfaces information about their contents. Our analysis reflects what appears in the document as provided to us. We do not verify the accuracy, completeness, or currency of any document you submit.

You must not rely on SecondLayer output as the sole basis for any financial, legal, or insurance decision. Always consult a qualified solicitor, financial advisor, or insurance broker before acting on any information provided by this service.

AI-generated analysis may contain errors, omissions, or misinterpretations. You acknowledge this and accept full responsibility for any decisions you make based on information provided by this service.

4. Limitation of Liability

To the maximum extent permitted by Irish and EU law:

FatCat Capital Limited's total liability to you shall not exceed the amount paid for the specific analysis or subscription giving rise to the claim.
We are not liable for any indirect, consequential, special, or incidental loss, including loss of profit, loss of data, or financial loss arising from use of or reliance on this service.
We are not liable for errors or omissions in AI-generated analysis output.
We are not liable for any decision made based on analysis output from SecondLayer or any of its products.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

5. Intellectual Property

Analysis output generated for your document is licensed to you for personal, non-commercial use only. You may not resell, sublicense, or commercially exploit analysis output without our prior written consent.

6. Your Documents

You retain ownership of all documents you submit to SecondLayer. By submitting a document, you grant FatCat Capital Limited a limited, temporary licence to process the document solely for the purpose of generating your analysis.

Documents are processed to generate analysis results and are not permanently stored beyond what is necessary for service delivery. We do not use your documents to train AI models.

You warrant that you have the legal right to submit any document you upload and that doing so does not breach any confidentiality obligation, third-party right, or applicable law.

Password-protected documents: If you upload a password-protected PDF and choose to provide the document password, you warrant that you are authorised to unlock and submit that document for processing. The password is used only to decrypt the document for text extraction and is discarded immediately after use. It is never logged, stored, or transmitted to any third party. See our Privacy Policy, section 2a, for full details of how document passwords are handled.

7. Payments and Refunds

Pay Per Use: €9.99 per analysis. Payment is non-refundable once the analysis has been generated and delivered. A PDF copy and receipt will be emailed to the address provided at checkout.

Personal Subscription: €19.99 per month or €149 per year. You may cancel at any time. No refund is provided for any unused portion of a billing period. Personal access continues until the end of the current billing period after cancellation.

Pro Subscription: €39.99 per month or €299 per year. You may cancel at any time. No refund is provided for any unused portion of a billing period. Pro access continues until the end of the current billing period after cancellation.

Expert Subscription: €49.99 per month or €399 per year. Expert includes access to both Personal and Pro studios. You may cancel at any time. No refund is provided for any unused portion of a billing period. Expert access continues until the end of the current billing period after cancellation.

All prices include VAT where applicable under Irish and EU law. Stripe processes all payments; we do not store card details.

8. Acceptable Use

You agree not to misuse the service, including by:

submitting documents you do not have the right to share
using the service for any unlawful purpose
attempting to reverse engineer, scrape, or interfere with the service
misrepresenting analysis output as professional legal, financial, or insurance advice
reselling or commercially exploiting analysis output without authorisation

9. Account Termination

We may suspend or terminate your account at any time for breach of these Terms, misuse of the service, or fraudulent activity, without prior notice. Termination does not entitle you to a refund of any fees paid.

10. Changes to Terms

We may update these Terms at any time. Significant changes will be notified by email or by a prominent notice on the site. Continued use of the service after changes take effect constitutes your acceptance of the revised Terms.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of Ireland. Any dispute arising from or related to these Terms or the use of SecondLayer shall be subject to the exclusive jurisdiction of the courts of Ireland.
